Hollis Laidlaw & Simon advises clients on all aspects of corporate and business law, including the formation of business, professional and not-for-profit corporations, limited liability companies, and partnerships, as well as the drafting of shareholder, member, partnership, and joint venture agreements. We also handle the sale and acquisition of businesses, and buy-outs of shareholders and members in close corporations and limited liability companies. In addition, we counsel on contract matters involving employment, management, contracting, and license agreements. While the majority of our corporate clients are located throughout the State of New York, we are routinely engaged by businesses in other states and abroad who do business in the State of New York. Typical engagements include registering a foreign entity with the Department of State for authorization to conduct business in New York; enforcing a restrictive covenant against a former employee residing or working in New York; defending litigation in New York; and enforcing contracts against individuals and entities having a presence in the state.

Cross-Disciplinary Team

Using the resources of our cross-disciplinary team, we are able to counsel our corporate clients across a spectrum of their business needs, from real estate matters to insurance and employment issues, and beyond. Among our depth of capabilities, we are experienced at drafting licensing agreements for a wide range of commercial entities. We also handle all matters of insurance law for individuals and corporations, including disclaimer of coverage and property claims. Additionally, we help businesses comply with the Americans with Disabilities Act, and provide sexual harassment prevention training which is now required for all businesses in New York State.

Social Enterprise Law

Our Social Enterprise team assists privately owned mission-driven companies in achieving both their social and financial goals. We help our clients create and adhere to the unique statutes required of benefit corporations and benefit limited liability companies, as well as help them become Certified B corporations. We advise our clients in complying with reporting requirements and are able to create provisions that help further their social impact goals and maximize outcomes for all stakeholders.
